1. Scope of Work
Provider agrees to deliver the following, in two parts (collectively, the “Services”):
design of a book & ministry website, brand logo & mark, book cover, and social pack; plus 30 days of social-media management, proofreading and a digital copy of the book, and hosting setup.
Part A — Design & Brand (by CSC Innovations)
Website — a reverent book & ministry website for House of Yosef (the agreed design), built and prepared for launch.
Brand logo & mark — the House of Yosef logo featuring a seven (7)-branch menorah mark, in gold on black, with exported final files.
Book cover — a print-ready cover for The Upright Words of the Righteous.
Social-media launch pack — profile image, cover banner, ~18 social posts, and a posting/setup guide.
Client media integration — incorporation of Client-provided artwork and Client-provided gospel audio into the website (see §5).
Referral link — at Client’s request, a referral hyperlink/credit to CSC Innovations (csc-innovations.com) placed on the Client’s website (see §10).
One-time launch assistance — a courtesy go-live setup of the website (see §3).
Part B — Managed Services (by CSC Innovations through its partner, Sheila Foley)
Social-media management — 30 days across Facebook, Instagram, Twitter/X, and TikTok: setup/optimization of the accounts (with Client’s cooperation and access), creation and scheduling of content, posting, and basic community engagement, for an initial term of thirty (30) days (see §2 and §6).
Book services — proofreading of the Client’s manuscript The Upright Words of the Righteous and production of a digital copy (e-book / PDF) of the completed book. This is editorial assistance, not a guarantee of error-free text or any publishing outcome; Client retains all rights to the book (see §4).
Hosting setup — creation of a Cloudflare account for the Client and configuration of hosting so the website is hosted under the Client’s own account. Once set up and handed to the Client, the Client owns and is responsible for that account (see §7).
2. Term of Managed Services
The social-media management in Part B is a fixed initial term of thirty (30) days beginning when the accounts are ready and access is provided. Any continuation beyond the initial 30 days (ongoing social management or other future work) is optional and by separate written agreement; this Agreement creates no automatic renewal and no ongoing obligation after the term. Design and one-time items in Part A are delivered once and are not recurring.
3. Delivery & Launch Assistance
Upon completion and full payment, Provider will deliver the final design files via
Email Download link, and will provide one-time launch
assistance to help publish the website (initial go-live). This one-time help and the hosting setup in Part B do not
create any ongoing hosting, maintenance, monitoring, or support obligation; after go-live and after the 30-day managed term,
the Client is responsible for ongoing management.
4. Ownership & Rights
Upon full payment, Provider grants Client full ownership of the final design files and a perpetual, irrevocable,
worldwide, non-exclusive license to use, modify, publish, or transfer the design. The Client’s book/manuscript, and all
content, lyrics, audio, and artwork the Client provides, remain the Client’s sole property — Provider claims no ownership
of them and uses them only to perform the Services. Provider retains its preliminary drafts, working/source files, methods,
tools, and processes. Provider may show the project in its portfolio unless Client asks otherwise in writing.
5. Client Materials & Content Warranty
Client warrants that it owns or has all necessary rights and licenses to every material it provides — including the
gospel music/audio, artwork, images, the book, and any text — and authorizes Provider to use, reproduce, and publish
those materials on the website and social media as part of the Services.
Client is solely responsible for the accuracy, legality, and rights-clearance of its own content. Client will defend,
indemnify, and hold harmless Provider from any third-party claim (including copyright, trademark, publicity, or
defamation claims) arising from materials the Client provides or from the Client’s business or conduct.
Client agrees to provide all required content, credentials, branding, and instructions in a timely manner; delays may
extend the timeline.
Client owns all social-media and hosting accounts. Client will create or authorize the accounts and grant Provider
temporary access needed to perform the Services, and will remove that access at or before the end of the term if desired.
Client is responsible for compliance with each platform’s Terms of Service and applicable law, and for the content it
approves for posting. Provider will use reasonable care and will follow Client’s reasonable direction on voice and cadence.
No results guarantee. Provider does not guarantee any specific number of followers, reach, engagement, views, sales,
or growth, and is not responsible for the actions of any platform.
7. Platform, Hosting & Third-Party Disclaimers
Provider is not responsible for, and is not liable for, any third-party platform or service — including account
suspensions, bans, restrictions, removals, algorithm or policy changes, downtime, data loss, outages, or pricing changes on
Facebook, Instagram, Twitter/X, TikTok, Cloudflare, domain registrars, or any plugin/app. Once the Cloudflare account is
set up and handed to the Client, the Client owns and is responsible for it, including hosting, domain, security, billing,
and uptime. Any future work is a separate agreement.
8. No Liability
Provider is not liable for any damages or losses arising from Client’s use of the design, the managed services, or any
third-party service, and makes no guarantee of performance, functionality, compatibility, or results.
Provider does not provide legal, financial, accounting, or compliance advice; Client is solely responsible for its own
legal compliance. In no event will Provider’s total liability exceed the amount actually paid by Client under this
Agreement.
Disclaimer. The Services are provided “as is” and “as available,” with all other warranties (merchantability,
fitness, non-infringement) disclaimed; no uptime, error-free, or results guarantee.
Indemnification. Client will defend, indemnify, and hold harmless Provider from any third-party claim arising from
Client’s materials, business, conduct, legal violations, or breach of this Agreement.
9. Payment Terms
Invoices are payable via the third-party processor (Stripe) on the invoice; processor fees are included unless
noted. Total Fee:$1,700.
Payment Schedule:100% due upon signing.
This one-time fee covers Part A (design & brand) and the initial Part B managed services (the 30-day social management,
book proofread & digital copy, and hosting setup). Work begins after payment is received, and final files are delivered
once payment is received in full.
10. Referral Link
At Client’s request, the Client’s website will display a referral hyperlink/credit to CSC Innovations
(e.g. “Website by CSC Innovations,” linking to csc-innovations.com), so visitors who need a website can reach CSC. Any
referral reward or commission for clients referred through that link is optional and by separate arrangement between the
parties.
11. Revisions
Includes 2 rounds of design revisions. Additional revisions billed at
$75 per hour.
12. Termination
Either party may terminate with written notice. If terminated, Client pays for all work completed to that date and
Provider retains ownership of unfinished work. Fees for completed one-time deliverables are non-refundable.
13. Confidentiality
Each party will protect the other’s non-public business information (including account credentials) with reasonable
care and use it only to perform or receive the Services (excluding information that is public, already known, independently
developed, or legally required to be disclosed).
14. Entire Agreement
This Agreement is the full understanding between the parties and supersedes prior discussions; changes must be in
writing and signed by both parties. Governed by the laws of the State of North Dakota.
15. Electronic Signature & Consent
The parties agree to do business electronically. Typing your name below and submitting this Agreement is your legal
signature and reflects your intent to be bound, with the same effect as a handwritten signature under the U.S. ESIGN Act and
the North Dakota Uniform Electronic Transactions Act (N.D.C.C. ch. 9-16). You may request a paper copy. The signed copy, with
the recorded date and time, is an original for all purposes.
