CSC builds the website and creates the content — one-time delivery · governed by North Dakota law
Effective Date: on signing
Provider will create and deliver the following (the “Deliverables”):
Expressly excluded from this agreement (and not Provider’s responsibility): social-media management or posting; proofreading; AI narration or audiobook production; setting up or operating any sales, payment, or Stripe link; hardcover/print sales or fulfillment; and any ongoing hosting, maintenance, updates, or support. Those services, where offered, are solely under the separate Sheila Foley 60-Day Services Agreement.
Upon completion and full payment, Provider will deliver the final files via Email Download link.
As a courtesy, Provider will provide one-time help to publish the website (initial go-live setup). This does not create any ongoing hosting, maintenance, monitoring, or support obligation; after go-live the Client (or its own service providers) is responsible for ongoing management.
Upon full payment, Provider grants Client full ownership of the final Deliverables and a perpetual, irrevocable, worldwide, non-exclusive license to use, modify, publish, or transfer them. The Client’s book/manuscript and any content, audio, music, and artwork the Client provides remain the Client’s sole property. Provider retains its preliminary drafts, working/source files, methods, tools, and processes. Provider may show the project in its portfolio unless Client asks otherwise in writing.
The combined fee for this Website & Content Agreement and the separate Sheila Foley 60-Day Services Agreement is $1,700 total, due in full upon signing, invoiced and collected by CSC Innovations in a single payment via Stripe. Work begins after payment is received; final files are delivered once payment is received in full.
Includes 2 rounds of design revisions to the website/content. Additional revisions billed at $75 per hour.
Either party may terminate with written notice. If terminated, Client pays for all work completed to that date and Provider retains ownership of unfinished work. Fees for completed one-time deliverables are non-refundable.
Each party will protect the other’s non-public business information with reasonable care and use it only to perform or receive the services (excluding information that is public, already known, independently developed, or legally required to be disclosed).
This agreement is the full understanding between the parties as to its subject matter and supersedes prior discussions; changes must be in writing and signed by both parties. Governed by the laws of the State of North Dakota.
The parties agree to do business electronically. Typing your name below and submitting this agreement is your legal signature and reflects your intent to be bound, with the same effect as a handwritten signature under the U.S. ESIGN Act and the North Dakota Uniform Electronic Transactions Act (N.D.C.C. ch. 9-16). You may request a paper copy.
