Who this is with. Sheila Foley is providing these services as an independent contractor in her own individual
capacity. CSC Innovations is NOT a party to this agreement and has no obligation or liability under it. CSC Innovations’
website and content work is covered by a separate Website & Content Agreement. The website itself, and the content used in
these services, are provided by CSC Innovations under that separate agreement.
1. Services (60-day term)
During the 60-day term, Provider will use commercially reasonable efforts to perform the following for the Client:
Social-media management & posting on YouTube, Facebook, Instagram, TikTok, and X (Twitter) — scheduling and
posting content (primarily content created and provided by CSC Innovations and/or the Client), light account upkeep, and basic
community engagement, using the Client’s own accounts.
Proofreading of the Client’s manuscript The Upright Words of the Righteous — a thorough, professional proofread to
a high standard, with free correction of any errors the Client identifies within fourteen (14) days of delivery (Section 4).
AI narration & audiobook/digital copy — sourcing an AI text-to-speech narration and producing a digital/audiobook
version of the book using that narration (Section 5).
Sales-link setup — setting up a link on the website connected to the Client’s own Stripe account so the Client can
sell the digital copy (and, per below, hardcover copies) (Section 6).
Hardcover sales link at end of term — at or around the end of the 60-day term, setting up a hyperlink on the website for
hardcover sales, again through the Client’s own seller/processor account (Section 6).
After the 60-day term, Provider has no further obligation. The parties may separately discuss a new arrangement
or further opportunity, which would be a new written agreement.
2. What Provider is NOT responsible for
Provider makes no guarantees and is not responsible for outcomes or results, including:
Social-media performance — no guarantee of followers, reach, views, engagement, virality, or growth, and no
responsibility for how the social media accounts or posts perform.
Book and sales performance — no guarantee of any sales, revenue, downloads, rankings, or reviews, and no responsibility
for how the book or audiobook sells or performs.
Platforms & third-party services — no responsibility for account suspensions, bans, restrictions, removals, shadow-bans,
algorithm or policy changes, outages, data loss, or pricing changes on any platform (YouTube, Facebook, Instagram, TikTok, X),
on Stripe, on any AI-narration tool, or on any hosting/domain provider.
Sales, payments, taxes & fulfillment — the Client is the seller and merchant of record; Provider is not responsible for
any sale, order, payment, refund, chargeback, tax, shipping, printing, or fulfillment of any digital or hardcover copy.
3. Client owns the accounts and cooperates
Client owns all accounts — the social-media accounts, the Stripe account, the domain, and any other accounts are the
Client’s. Client will create them (or authorize their creation) and grant Provider temporary access to perform the Services, and
will change or remove that access at or before the end of the term.
Client is responsible for compliance with each platform’s and Stripe’s Terms of Service and applicable law, and for any content
the Client approves for posting or sale. Provider will use reasonable care and follow the Client’s reasonable direction.
4. Proofreading standard
Provider will perform a thorough, professional proofread of the manuscript to a high standard and will correct, at no
additional charge, any error the Client identifies and reports within fourteen (14) days of delivery of the proofread. Because no
human or tool can guarantee a text is perfectly free of every conceivable error, this is a diligent best-effort professional
service, not an absolute guarantee of perfection; Provider’s only obligation for any error is to correct it under this Section,
and Provider has no other liability for typographical or similar errors.
5. AI narration & audiobook — rights
Important. Provider will source an AI text-to-speech voice and produce the audiobook. The Client is solely
responsible for ensuring the chosen AI-narration tool’s license permits the Client’s intended commercial sale of the audiobook,
and authorizes its use. Provider will reasonably aim to use a tool that allows commercial use, but does not warrant or take
responsibility for any third-party AI tool’s terms, licensing, voice rights, or availability. Client owns the resulting audiobook
files (subject to those third-party tool terms) and is responsible for their commercial use.
6. Sales links — Client is the seller
Any sales link (digital or hardcover) will be connected to the Client’s own Stripe and/or seller account. The Client
is the seller and merchant of record and is solely responsible for pricing, taxes, payment processing, refunds, chargebacks,
order fulfillment, printing, shipping, customer service, and all legal compliance of any sale. Provider only performs the technical
setup and is not a party to any sale.
7. Client Materials, Rights & Indemnification
Client warrants that it owns or has all necessary rights and licenses to the book, its text, any lyrics, music, audio,
images, and artwork, and to everything posted or sold, and authorizes Provider to use them to perform the Services.
Client will defend, indemnify, and hold harmless Provider from and against any and all third-party claims, demands,
losses, damages, liabilities, and costs (including reasonable attorneys’ fees) arising from the Client’s content, book, business,
sales, social-media posts, conduct, legal violations, or breach of this agreement.
8. Limitation of Liability; “As Is”
The Services are provided “as is” and “as available,” with all warranties (merchantability, fitness for a particular
purpose, non-infringement) disclaimed.
Provider will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for
any lost profits, lost sales, lost data, or loss of goodwill, even if advised of the possibility.
Provider’s total cumulative liability for any and all claims under this agreement will not exceed the total fees actually
received by Provider for these Services.
9. Independent Contractor
Provider is an independent contractor, not an employee, partner, or agent of the Client or of CSC Innovations. Provider
controls the manner and means of performing the Services and is responsible for her own taxes. Nothing here creates a partnership,
joint venture, employment, or agency relationship.
10. Payment
Provider’s Services are part of the combined $1,700 one-time fee for this 60-Day Services Agreement and the separate
CSC Innovations Website & Content Agreement, due in full upon signing and collected by CSC
Innovations in a single Stripe payment, from which Provider’s portion is paid. Services begin after payment is received. Fees are
non-refundable once services have begun.
11. Termination
Either party may terminate with written notice. On termination, Client pays for all services performed to that date.
Provider will return or remove access to the Client’s accounts.
12. Confidentiality
Provider will protect the Client’s non-public information and account credentials with reasonable care and use them only
to perform the Services.
13. Entire Agreement
This agreement is the full understanding between Sheila Foley and the Client as to its subject matter and supersedes prior
discussions; changes must be in writing and signed by both parties. Governed by the laws of the State of North Dakota.
14. Electronic Signature & Consent
The parties agree to do business electronically. Typing your name below and submitting this agreement is your legal
signature, with the same effect as a handwritten signature under the U.S. ESIGN Act and N.D.C.C. ch. 9-16. You may request a paper copy.
